Doctor Contract Basics

Make sure you have and understand the answers to all of the following before signing.

Term and Termination

• How long the contract will last
• Process for renewal
• How to get out of the contract

Restrictive Covenants

• Non-competes — geographic radius, type of non-compete (all paid clinical? or specific), telehealth allowed?
• Non-solicitations
• Exclusivity

Liability

• Malpractice insurance and tail coverage
• Indemnification
• Financial penalties

Duties

• Schedule and location of practice
• Call requirements — how many calls, how often, how big is the call pool?
• Teaching or supervision responsibilities

Compensation

• Explanation of compensation structure — base, production/RVU, bonusing
• Bonus opportunities
• Recruitment incentives — signing bonus, retention bonus, lock-in terms?

Benefits

• Explanation of offering — full time vs part time, 1099 vs W2
• Timeline for beginning of coverage/benefits
• PTO, CME
• Loan forgiveness — do they qualify for state programs or Federal PSLF?
• Matched retirement — 401k/403b, 457b
